  9. 435.1 The Rule.

  14. In connection with mail order sales in commerce, as "commerce" is 
  15. defined  in the Federal Trade Commission Act, it  constitutes  an 
  16. unfair method of competition, and an unfair or deceptive act  and 
  17. practice for a seller:
  18.  
  19. (a)(1)  To  solicit any order for the sale of merchandise  to  be 
  20. ordered by the buyer through the mails unless, at the time of the 
  21. solicitation, the seller has a reasonable basis to expect that he 
  22. will  be able to ship any ordered merchandise to the buyer:   (i) 
  23. Within  that  time clearly and conspicuously stated in  any  such 
  24. solicitation,  or  (ii) if no time is clearly  and  conspicuously 
  25. stated,  within  thirty  (30) days after receipt  of  a  properly 
  26. completed order from the buyer.

  32. (2)  To  provide  any buyer with any revised  shipping  date,  as 
  33. provided  in paragraph (b) of this section, unless, at  the  time 
  34. any  such  revised shipping date is provided, the  seller  has  a 
  35. reasonable  basis  for  making such  representation  regarding  a 
  36. definite revised shipping date.

  38. (3) To inform any buyer that he is unable to make any representa-
  39. tion regarding the length of any delay unless (i) the seller  has 
  40. a reasonable basis for so informing the buyer and (ii) the seller 
  41. informs the buyer of the reason or reasons for the delay.
  42.  
  43. (4) In any action brought by the Federal Trade Commission, alleg-
  44. ing a violation of this part, the failure of a  respondent-seller 
  45. to  have records or other documentary proof establishing his  use 
  46. of  systems and procedures which assure the shipment of  merchan-
  47. dise  in  the ordinary course of business within  any  applicable 
  48. time set forth in this part will create a rebuttable  presumption 
  49. that the seller lacked a reasonable basis for any expectation  of 
  50. shipment within said applicable time.

  52. (b)(1)  Where a seller is unable to ship merchandise  within  the 
  53. applicable  time set forth in paragraph (a) (1) of this  section, 
  54. to  fail  to offer to the buyer, clearly  and  conspicuously  and 
  55. without  prior demand, an option either to consent to a delay  in 
  56. shipping  or  to cancel his order and receive  a  prompt  refund.  
  57. Said  offer  shall  be made within a reasonable  time  after  the 
  58. seller  first becomes aware of his inability to ship  within  the 
  59. applicable  time set forth in paragraph (a)(1) of  this  section, 
  60. but in no event later than said applicable time.

  65. (i)  Any offer to the buyer of such an option shall fully  inform 
  66. the buyer regarding his right to cancel the order and to obtain a 
  67. prompt refund and shall provide a definite revised shipping date, 
  68. but  where  the seller lacks a reasonable basis for  providing  a 
  69. definite revised shipping date the notice shall inform the  buyer 
  70. that  the seller is unable to make any  representation  regarding 
  71. the length of the delay.

  73. (ii)  Where the seller has provided a definite  revised  shipping 
  74. date which is thirty (30) days or less later than the  applicable 
  75. time set forth in paragraph (a)(1) of this section, the offer  of 
  76. said  option  shall expressly inform the buyer that,  unless  the 
  77. seller receives, prior to shipment and prior to the expiration of 
  78. the  definite  revised shipping date, a response from  the  buyer 
  79. rejecting  the delay and canceling the order, the buyer will  be 
  80. deemed  to have consented to a delayed shipment on or before  the 
  81. definite revised shipping date.

  83. (iii)  Where the seller has provided a definite revised  shipping 
  84. date which is more than thirty (30) days later than the  applica-
  85. ble  time set forth in paragraph (a)(1) of this section or  where 
  86. the seller is unable to provide a definite revised shipping  date 
  87. and  therefore  informs the buyer that he is unable to  make  any 
  88. representation  regarding the length of the delay, the  offer  of 
  89. said option shall also expressly inform the buyer that his  order 
  90. will  automatically be deemed to have been canceled  unless  (A) 
  91. the seller has shipped the merchandise within thirty (30) days of 
  92. the  applicable time set forth in paragraph (a)(1) of  this  sec-
  93. tion, and has received no cancellation prior to shipment, or  (B) 
  94. the seller has received from the buyer within thirty (30) days of 
  95. said applicable time, a response specifically consenting to  said 
  96. shipping  delay.  Where the seller informs the buyer that  he  is 
  97. unable  to  make any representation regarding the length  of  the 
  98. delay,  the  buyer shall be expressly informed  that,  should  he 
  99. consent  to an indefinite delay, he will have a continuing  right 
  100. to  cancel  his order at any time after the applicable  time  set 
  101. forth  in  paragraph (a)(1) of this section by so  notifying  the 
  102. seller prior to actual shipment.

  107. (iv)  Nothing in this paragraph shall prohibit a seller who  fur-
  108. nishes  a  definite revised shipping date pursuant  to  paragraph 
  109. (b)(1)(i)  of this section, from requesting, simultaneously  with 
  110. or  at any time subsequent to the offer of an option pursuant  to 
  111. paragraph (b)(1) of this section, the buyer's express consent  to 
  112. a  further unanticipated delay beyond the definite revised  ship-
  113. ping  date in the form of a response from the buyer  specifically 
  114. consenting to said further delay.  Provided, however, that  where 
  115. the seller solicits consent to an unanticipated indefinite  delay 
  116. the solicitation shall expressly inform the buyer that, should he 
  117. so  consent  to an indefinite delay, he shall have  a  continuing 
  118. right to cancel his order at any time after the definite  revised 
  119. shipping  date by so notifying the seller prior to  actual  ship-
  120. ment.
  121.  
  122. (2) Where a seller is unable to ship merchandise on or before the 
  123. definite revised shipping date provided under paragraph (b)(1)(i) 
  124. of  this section and consented to by the buyer pursuant to  para-
  125. graph  (b)(1)(ii) or (iii) of this section, to fail to  offer  to 
  126. the buyer, clearly and conspicuously and without prior demand,  a 
  127. renewed option either to consent to a further delay or to  cancel 
  128. the  order and to receive a prompt refund.  Said offer  shall  be 
  129. made  within  a reasonable time after the  seller  first  becomes 
  130. aware  of his inability to ship before the said definite  revised 
  131. date,  but in no event later than the expiration of the  definite 
  132. revised shipping date:

  134. Provided, however, That where the seller previously has  obtained 
  135. the  buyer's  express consent to an unanticipated delay  until  a 
  136. specific date beyond the definite revised shipping date, pursuant 
  137. to  paragraph  (b)(1)(iv) of this section or to a  further  delay 
  138. until  a specific date beyond the definite revised shipping  date 
  139. pursuant to paragraph (b)(2) of this section, that date to  which 
  140. the  buyer has expressly consented shall supersede  the  definite 
  141. revised  shipping date for purposes of paragraph (b)(2)  of  this 
  142. section.

  144. (i)  Any offer to the buyer of said renewed option shall  provide 
  145. the  buyer with a new definite revised shipping date,  but  where 
  146. the seller lacks a reasonable basis for providing a new  definite 
  147. revised shipping date, the notice shall inform the buyer that the 
  148. seller is unable to make any representation regarding the  length 
  149. of the further delay.

  151. (ii)  The  offer of a renewed option shall expressly  inform  the 
  152. buyer  that, unless the seller receives, prior to the  expiration 
  153. of the old definite revised shipping date or any date superseding 
  154. the  old  definite revised sh
